Terms of Service

1. Agreement to Terms
I am Dhairya Patel, trading as VertexLineup Studio. Your accepted project proposal and signed agreement define the work, fees and delivery dates. These website terms describe my published service terms. The project agreement must record any agreed difference before work begins.
2. Services
I provide design, content and business support within the written project scope. The proposal records the deliverables, price, timing, revisions and any exclusions before you agree to the work. Sending an enquiry or preparing an email draft does not create a paid booking.
Business plans, financial models, funding drafts and document work support your decisions. They do not replace advice from a lawyer, accountant or other qualified professional. I do not promise funding approval, investment, search rankings, enquiries or sales. AI-assisted tools may support research, drafts and code; I review the work I deliver. The signed scope records any provider that will need your confidential or personal information.
3. Payment Terms
- Launch and Growth deposit: 50% of the website fee is due before work begins.
- Launch and Growth final payment: The remaining 50% is due on approval.
- Website Plan: The $350 fee is paid before the planning call. Other project services follow the payment schedule in their signed agreement.
- Website care: Billed monthly in advance. Cancel before the next billing date. Unused time does not roll over. Other monthly services use the cancellation terms in their signed scope.
- The payment method is confirmed in your signed agreement. Prices are in Canadian dollars before applicable tax.
- Domain, email, paid platforms and optional care are separate from a website build. I identify required third-party costs and who pays them in the quote before you accept it. I quote extra pages or features before doing that work.
- I am not currently registered for GST/HST. I do not charge GST/HST while unregistered. Any change in applicable tax is identified in the quote and invoice.
4. Revisions & Satisfaction Guarantee
Launch and Growth websites include two rounds of revisions before launch. Revisions cover changes within the agreed scope. New features require a separate quote. If you are not satisfied after those two rounds, I refund the deposit in full. Additional website revisions are billed at $75/hr. Other services use the revision and cancellation terms in their signed agreement.
5. Client Responsibilities
The Client is responsible for: providing accurate business information and content; reviewing and providing feedback within agreed timelines; ensuring all supplied materials (logos, images, text) are legally owned or licensed; and maintaining necessary accounts (hosting, domain, etc.) after project handoff.
6. Intellectual Property
On final payment, you own the custom design, copy and code I create for your project. The signed agreement records any permission to display the completed work in my portfolio. Third-party assets, including fonts, stock images and plugins, keep their own licences.
7. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the project. This does not apply to information that is publicly available or required to be disclosed by law.
8. Limitation of Liability
To the extent permitted by applicable law, my total liability for a claim arising from a project is limited to the fees paid for that project. This limit and the exclusion of indirect, consequential or incidental damages apply only where the law permits them.
These terms do not waive or reduce any right, remedy or protection that cannot legally be waived. This includes applicable consumer protections. A signed agreement cannot remove those protections.
9. Turnaround Times
Launch and Growth website delivery is committed within fourteen calendar days of the agreed start, once the complete brief, assets and deposit are received. The proposal records both dates. Client delays move the affected dates, which I confirm in writing. If I cannot meet my commitment, I contact you promptly to agree a remedy. Other services use the delivery date in their signed scope.
10. Termination
For Launch and Growth websites, I refund the deposit if you are not satisfied after the two included revision rounds. The signed agreement records the review and refund process. Other services use the cancellation terms in their signed agreement.
Send a cancellation or refund request to hello@vertexlineup.com with your project name. I confirm the work status, any amount due or refund, and the handoff steps in writing. Your agreement must record the process for stopping work at other stages before work begins. Any cancellation or refund right required by law still applies.
Website care continues month to month until cancelled. Email me before the next billing date to cancel the next month. The signed scope records the billing date and any treatment of an already-paid month. These digital services have no physical shipping or product-return process; delivery and handoff are recorded in the project agreement.
11. Governing Law
These terms are governed by Alberta law and applicable Canadian law, subject to any mandatory law that applies to you. You can contact me to try to resolve a concern. The courts of Alberta hear disputes where permitted by law. These terms do not require binding arbitration or prevent you from exercising a statutory complaint or court remedy.
